Soundcabin Terms of Service

Welcome to Soundcabin. These Terms of Service ("Terms") govern your access to and use of Soundcabin's website, applications, and services (collectively, the "Service"). By using Soundcabin, you agree to these Terms.

1. About Soundcabin

Soundcabin is a platform that enables independent musicians and content creators ("Creators") to share their music and content with supporters ("Subscribers") through paid subscriptions. Soundcabin provides the technology and infrastructure but does not produce, endorse, or control the content shared by Creators.

2. Eligibility

You must be at least 18 years old to use Soundcabin. If you are between 13 and 18, you may only use Soundcabin with the consent and supervision of a parent or legal guardian. By using Soundcabin, you represent that you meet these age requirements.

3. Account Registration

3.1 Creating an Account


You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 Account Security


You agree to notify us immediately of any unauthorized use of your account. Soundcabin is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Creator Responsibilities

4.1 Content Ownership and Rights


As a Creator, you represent and warrant that:
  • You own or have obtained all necessary rights, licenses, permissions, and clearances for all content you upload

  • Your content does not infringe any copyright, trademark, trade secret, or other intellectual property rights

  • You have secured all required licenses for musical compositions, sound recordings, samples, loops, interpolations, cover songs, or any other use of third-party copyrighted material

  • Your content complies with all applicable laws and these Terms
  • 4.2 Sample Clearance and Copyright


    If your music contains samples, you are solely responsible for:
  • Obtaining proper clearance and licenses for all samples, including mechanical licenses, synchronization licenses, and master use licenses

  • Ensuring compliance with copyright law

  • Any legal consequences resulting from uncleared samples
  • Soundcabin does not pre-screen content for copyright compliance. You assume all risk and liability for content you upload.

    4.3 Creator Obligations


    As a Creator, you agree to:
  • Provide original content or content you have rights to distribute

  • Accurately describe your subscription offerings

  • Fulfill your commitments to Subscribers

  • Respond to Subscriber inquiries in a reasonable timeframe

  • Maintain the quality and consistency of your content
  • 4.4 Prohibited Creator Activities


    Creators may not:
  • Upload content they do not have rights to distribute

  • Misrepresent their identity or subscription offerings

  • Engage in fraudulent activity or money laundering

  • Use Soundcabin for peer-to-peer money transmission unrelated to genuine content creation

  • Create multiple accounts to evade enforcement actions
  • 5. Subscriber Responsibilities

    5.1 Subscriptions


    As a Subscriber, you agree to:
  • Pay subscription fees as agreed with the Creator

  • Use content in accordance with the Creator's terms and for personal, non-commercial use only

  • Not redistribute, resell, or publicly perform Creator content without permission
  • 5.2 Subscription Payments


  • Subscriptions automatically renew on a monthly basis unless canceled

  • You can cancel your subscription at any time, effective at the end of the current billing period

  • Refunds are handled on a case-by-case basis at Soundcabin's discretion

  • Creators set their own subscription prices; Soundcabin processes payments on their behalf
  • 5.3 Content Access


  • Subscribers access content through the Soundcabin platform for the duration of their active subscription

  • Upon cancellation, you may lose access to Creator content

  • Creators may modify or remove content at their discretion
  • 6. Prohibited Content and Conduct

    6.1 Prohibited Content


    The following content is strictly prohibited on Soundcabin:

    Illegal Content:

  • Child sexual abuse material (CSAM)

  • Content that violates applicable laws

  • Pirated or stolen content

  • Content that infringes intellectual property rights

  • Content promoting or facilitating illegal activities
  • Harmful Content:

  • Hate speech or content promoting violence or discrimination against protected groups

  • Content that harasses, bullies, threatens, or doxxes individuals

  • Non-consensual intimate imagery

  • Graphic violence or gore (except in clearly artistic contexts)

  • Scams, fraud, or deceptive practices

  • Malware, viruses, or malicious code
  • Adult Content:

  • Sexually explicit content is prohibited on Soundcabin per our payment processor's requirements
  • 6.2 Prohibited Conduct


    Users may not:
  • Impersonate others or misrepresent affiliations

  • Manipulate the platform to artificially inflate metrics

  • Scrape, harvest, or collect user data without permission

  • Attempt to circumvent security measures or access restrictions

  • Use the platform for money laundering or peer-to-peer money transmission unrelated to content creation

  • Engage in any activity that disrupts or interferes with the Service
  • 7. Content Moderation and Enforcement

    7.1 Reporting Violations


    Users can report content or conduct that violates these Terms by emailing reports@soundcabin.com. We review all reports and take appropriate action.

    7.2 Our Rights


    Soundcabin reserves the right to:
  • Remove or disable access to content that violates these Terms

  • Suspend or terminate accounts that violate these Terms

  • Refuse service to anyone at any time

  • Modify or discontinue the Service with or without notice
  • 7.3 Enforcement Actions


    Violations may result in:
  • Content removal

  • Account warnings

  • Temporary suspension (7-30 days)

  • Payment holds during investigations

  • Permanent account termination

  • Reporting to law enforcement when required by law
  • 7.4 Repeat Infringer Policy


    Soundcabin will terminate accounts of users who repeatedly violate these Terms or infringe intellectual property rights of others, in accordance with the Digital Millennium Copyright Act (DMCA).

    8. Copyright and DMCA

    8.1 Respect for Copyright


    Soundcabin respects intellectual property rights and expects users to do the same. We respond to valid copyright infringement notices in accordance with the DMCA.

    8.2 DMCA Takedown Process


    If you believe content on Soundcabin infringes your copyright, submit a DMCA takedown notice to our designated Copyright Agent:

    Your notice must include:

  • Your physical or electronic signature

  • Identification of the copyrighted work claimed to be infringed

  • Identification of the allegedly infringing material and its location on Soundcabin

  • Your contact information (address, phone number, email)

  • A statement that you have a good faith belief that the use is not authorized

  • A statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner
  • 8.3 Counter-Notification


    If your content was removed due to a DMCA notice and you believe it was removed in error, you may submit a counter-notification to our Copyright Agent with:
  • Your physical or electronic signature

  • Identification of the removed material and its prior location

  • A statement under penalty of perjury that the material was removed by mistake or misidentification

  • Your contact information and consent to jurisdiction
  • 8.4 Repeat Infringers


    We will terminate accounts of users who are repeat copyright infringers.

    9. Payment Terms

    9.1 Payment Processing


    Payments are processed through our third-party payment processor, Stripe. By using Soundcabin, you agree to Stripe's Terms of Service.

    9.2 Creator Payouts


  • Creators receive payouts according to our payout schedule (typically monthly)

  • Soundcabin retains a platform fee from each subscription (percentage disclosed separately)

  • Payouts may be delayed or held if we suspect fraudulent activity or Terms violations

  • New Creator accounts have a 7-14 day payout delay for security purposes

  • Creators must provide accurate tax information to receive payouts
  • 9.3 Fees and Charges


  • Soundcabin charges a platform fee on all subscription payments (percentage disclosed on pricing page)

  • Payment processing fees apply as determined by our payment processor

  • We may modify fees with 30 days notice to Creators
  • 9.4 Refunds


  • Subscription refunds are handled at Soundcabin's discretion on a case-by-case basis

  • Refund requests should be submitted to support@soundcabin.com

  • Generally, refunds are not provided for partial subscription periods
  • 9.5 Taxes


  • Creators are responsible for all taxes related to their earnings

  • Soundcabin will provide necessary tax documentation (e.g., 1099 forms for US users)

  • International users are responsible for compliance with their local tax laws
  • 10. Financial Controls and Anti-Money Laundering

    10.1 Legitimate Use


    Soundcabin is intended exclusively for legitimate content creation and monetization. Users may not use the platform for:
  • Peer-to-peer money transmission unrelated to content

  • Money laundering or terrorist financing

  • Processing payments for prohibited goods or services

  • Any use that violates our payment processor's terms
  • 10.2 Monitoring


    We monitor for suspicious activity including:
  • Accounts with payment activity but minimal or no content

  • Unusual transaction patterns or volumes

  • Rapid cycling of subscriptions

  • Geographic patterns suggesting money movement rather than content support
  • 10.3 Right to Investigate


    We reserve the right to investigate suspicious activity, hold payments, request additional information, and report to authorities as required by law.

    11. Intellectual Property

    11.1 Soundcabin's Rights


    The Soundcabin name, logo, design, and all related trademarks, service marks, and intellectual property are owned by Soundcabin. You may not use our intellectual property without prior written permission.

    11.2 Creator Content License


    By uploading content to Soundcabin, you grant us a limited, worldwide, non-exclusive, royalty-free license to:
  • Host, store, reproduce, and display your content for the purpose of operating and providing the Service

  • Analyze your content (including audio, text, metadata, and user engagement patterns) to create content embeddings and improve our recommendation system

  • Use anonymized, aggregated data derived from your content for platform improvements and features
  • This analysis helps us connect Creators with relevant audiences and improve content discovery. We do not sell your content or use it for purposes unrelated to operating Soundcabin.

    This license ends when you delete your content or account, except for:

  • Content that has been shared with Subscribers (who retain access per their subscription terms)

  • Cached or backup copies (deleted within a reasonable time)

  • Anonymized, aggregated data that cannot be traced back to you individually
  • 11.3 Subscriber License


    When you subscribe to a Creator, you receive a limited, non-exclusive, non-transferable license to access and view their content for personal, non-commercial use only. You may not:
  • Download, reproduce, or redistribute Creator content (unless explicitly permitted)

  • Publicly perform or display Creator content

  • Create derivative works from Creator content

  • Use Creator content for commercial purposes
  • 12. Privacy

    Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using Soundcabin, you consent to our Privacy Policy.

    13. Third-Party Services

    Soundcabin may integrate with or link to third-party services (e.g., payment processors, social media platforms). We are not responsible for third-party services, and your use of them is governed by their own terms and policies.

    13.1 Connecting Social Accounts (Facebook and Instagram)

    You may optionally connect your Facebook Page and/or Instagram Business or Creator account to Soundcabin. By connecting a social account, you authorize Soundcabin to publish content to that account on your behalf, but only when you explicitly initiate a post — Soundcabin does not post autonomously. You represent that you have the right to connect the account and publish to it. Your use of Facebook and Instagram remains subject to Meta's terms and policies, and Soundcabin's handling of the data involved is described in Section 10 of our Privacy Policy. You may disconnect a social account at any time from Settings → Connected Accounts, or revoke access directly through Meta.

    14. Disclaimers and Limitation of Liability

    14.1 Service "As Is"


    SOUNDCABIN IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

    14.2 No Guarantee of Service


    We do not guarantee that:
  • The Service will be uninterrupted, secure, or error-free

  • Content will be accurate, reliable, or appropriate

  • Creators will fulfill their obligations to Subscribers

  • Your use of the Service will meet your expectations
  • 14.3 Limitation of Liability


    TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUNDCABIN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
  • Indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, revenue, data, or use

  • Damages resulting from user content or conduct

  • Any damages exceeding the amount you paid to Soundcabin in the 12 months preceding the claim
  • 14.4 User Disputes


    You agree that disputes between users (e.g., between Creators and Subscribers) are solely between those users. Soundcabin has no obligation to be involved in such disputes but may choose to help resolve them at our discretion.

    15. Indemnification

    You agree to indemnify, defend, and hold harmless Soundcabin and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service

  • Your content or conduct

  • Your violation of these Terms

  • Your violation of any law or third-party rights
  • 16. Termination

    16.1 By You


    You may terminate your account at any time through account settings or by contacting support@soundcabin.com. Termination does not entitle you to refunds for unused subscription periods.

    16.2 By Us


    We may suspend or terminate your account at any time for:
  • Violation of these Terms

  • Fraudulent or illegal activity

  • Risk to the platform or other users

  • Any reason or no reason, with or without notice
  • 16.3 Effect of Termination


    Upon termination:
  • Your access to the Service ends immediately

  • Creators forfeit access to pending payouts for content that violated Terms

  • We may delete your content and account data (subject to legal retention requirements)

  • Sections of these Terms that by nature should survive (e.g., indemnification, limitation of liability) will continue to apply
  • 17. Changes to Terms

    We may modify these Terms at any time. If we make material changes, we will notify you via email or through the Service at least 30 days before the changes take effect. Your continued use of Soundcabin after changes take effect constitutes acceptance of the new Terms.

    18. Dispute Resolution

    18.1 Governing Law


    These Terms are governed by the laws of United States of America, without regard to conflict of law principles.

    18.2 Arbitration Agreement


    Any dispute arising from these Terms or your use of Soundcabin will be resolved through binding arbitration rather than in court, except that:
  • You may assert claims in small claims court if they qualify

  • Either party may seek injunctive relief in court for intellectual property infringement

  • 18.3 Exceptions


    This arbitration agreement does not apply to:
  • Claims for injunctive or equitable relief

  • Intellectual property disputes

  • Small claims court matters

18.4 Opt-Out


You may opt out of this arbitration agreement within 30 days of accepting these Terms by emailing legal@soundcabin.com with your name and a statement that you opt out of arbitration.

19. General Terms

19.1 Entire Agreement


These Terms, along with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Soundcabin.

19.2 Severability


If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.

19.3 No Waiver


Our failure to enforce any provision does not waive our right to enforce it later.

19.4 Assignment


You may not assign these Terms without our written consent. We may assign these Terms to any successor or affiliate.

19.5 Force Majeure


We are not liable for delays or failures in performance due to circumstances beyond our reasonable control.
